🐂 The Bull Case (Warren's voice)

  • The Toll Booth: Title insurance isn't a "want"; it's a "must" for mortgage lending. FNF sits at the narrowest point of the real estate funnel. Every time a deed changes hands, they take a cut. That is a wonderful business model.
  • The Float Engine: The annuity and life insurance arm isn't just for profit; it's for float. They harvest low-cost capital from policyholders to fund acquisitions and operations, effectively getting paid to use other people's money.
  • Consolidation Play: In a fragmented market, the biggest player with the lowest cost-per-transaction wins. If they can successfully integrate their acquisitions, they create a scale advantage that "small fry" cannot touch.
  • Attractive Entry: This becomes interesting only if the market prices it as a dying utility while it continues to function as a dominant monopoly. If we can pick this up at a massive discount to book value, the downside is capped by the liquidation value of the insurance assets.

🐻 The Bear Case (Charlie inverts)

"Show me where I'll die and I won't go there."

  • The Digital Execution: The "regulatory moat" is a paper wall. If state governments migrate land records to a centralized, blockchain-based digital ledger, the "search and verify" value proposition vanishes overnight. The toll booth is demolished by a digital highway.
  • The Efficiency Death Spiral: Revenue doubled ($7.3B$14.4B) while Net Income fell ($0.7B$0.6B). This is the classic "Empire Builder's Trap." Management is buying growth to mask a decaying core. They are running faster just to stand still.

  • 50% margin of safety entry: $11.00 (The "Buffett" price—protects against the margin collapse).
  • Current Status: Expensive. The market is pricing in the "Toll Booth" moat but ignoring the "Efficiency Collapse" reality.

Verdict: PASS

Price is disconnected from the deteriorating quality of earnings. The moat is being eroded by internal mismanagement and debt. We don't buy businesses that double in size to earn less money.
